Terms of Service

1. Service Description

WattsWise is a cycling analytics and training platform operated by Dynamic Strategy, a company incorporated in Portugal (the "Company", "we", "us", or "our"). These Terms of Service (the "Terms") govern your access to and use of the WattsWise web application, the WattsWise Garmin Connect IQ companion application, and all associated services (collectively, the "Service").

The Service comprises the following features and capabilities:

• Integration with Strava via OAuth 2.0 to sync cycling activity data, including power, heart rate, cadence, speed, GPS, and temperature streams
• Advanced cycling analytics, including power curves, performance management charts, efficiency factor analysis, and power-to-heart-rate regression modelling
• Training plan generation with periodisation, structured workouts, and progression logic based on your fitness data
• Course planning with GPX upload, gradient-segmented power targets, pacing strategies, and nutrition planning
• An AI-powered coaching assistant utilising the Anthropic Claude API for personalised training guidance
• Live GPS-fenced course events with prize points, real-time leaderboards, and automated anti-cheat monitoring
• Blockchain integration via the Midnight Network, including race result settlement, verifiable credentials, WATTS utility tokens, and a private vault with selective disclosure
• A Garmin Connect IQ companion application for Garmin Edge 840, Edge 1040, Edge 1050, and Edge Explore 2 devices, providing race-day pacing, nutrition alerts, and live event participation
• Payment processing via Stripe (card payments) and Coinbase Commerce (cryptocurrency payments)

2. Acceptance of Terms

By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Dynamic Strategy. You must accept these Terms before creating an account. Your continued use of the Service following any modifications to these Terms constitutes acceptance of the modified Terms.

You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms. If you are between 16 and 18 years of age, you represent that your parent or legal guardian has reviewed and consents to these Terms on your behalf.

3. Accounts

• You must provide accurate, current, and complete information when creating an account and keep this information up to date at all times. Providing false or misleading information may result in suspension or termination of your account.
• You are solely responsible for maintaining the confidentiality of your password and for all activity that occurs under your account, whether or not authorised by you.
• Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions, manipulate event results, or exploit token earning mechanisms is strictly prohibited and will result in the termination of all associated accounts and forfeiture of all WATTS tokens.
• You must notify us immediately at info@dynamicstrategies.io if you become aware of any unauthorised access to or use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

4. Open Beta

WattsWise is currently in an open beta period (the "Beta Period"). During the Beta Period, all features of the Service are available at no charge.

Users who create an account during the Beta Period will receive three (3) months of complimentary access to the Service commencing from the date the Beta Period officially ends (the "Beta Reward"). The Beta Reward applies to the subscription tier that is active at the time the Beta Period ends. WattsWise may introduce different subscription tiers with different feature sets, and the Beta Reward will apply to the tier corresponding to the features available to you at the end of the Beta Period.

Features available during the Beta Period are provided "as is" and may contain bugs, errors, or incomplete functionality. WattsWise reserves the right to modify, remove, or restrict any feature during the Beta Period without prior notice. Features available during the Beta Period may become paid features, be restructured, or be discontinued entirely.

WattsWise reserves the right to end the Beta Period at any time by providing at least thirty (30) days' notice to registered users via email. Upon conclusion of the Beta Period, you will be notified of available subscription plans and the commencement of your Beta Reward period.

5. Subscriptions and Payments

Following the Beta Period and any applicable Beta Reward period, continued access to premium features of the Service requires an active paid subscription.

Card payments (Stripe): Subscriptions paid by credit or debit card are processed by Stripe, Inc. Card subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time via Settings. Cancellation takes effect at the end of the current billing period; no partial or pro-rata refunds are issued for the remaining portion of any billing period. Card payment data is processed entirely by Stripe. WattsWise never stores, processes, or has access to your card numbers, CVVs, or raw payment credentials.

Cryptocurrency payments (Coinbase Commerce): Cryptocurrency payments are processed by Coinbase Commerce. Crypto subscriptions do not auto-renew; you must initiate a new payment before your current subscription period ends to maintain uninterrupted access. Cryptocurrency payments are non-refundabledue to the irreversible nature of blockchain transactions. In its sole and absolute discretion, WattsWise may issue platform credit as a goodwill gesture; no cash, cryptocurrency, or other monetary refund will be provided under any circumstances. WattsWise is not responsible for exchange rate fluctuations between the time of payment initiation and blockchain confirmation. You are solely responsible for any tax obligations arising from cryptocurrency transactions, including but not limited to capital gains, income tax, and VAT or GST as applicable in your jurisdiction. Your use of Coinbase Commerce is subject to Coinbase's own Terms of Service.

Price changes: WattsWise reserves the right to modify subscription pricing. We will provide at least thirty (30) days' advance notice of any price changes via email. Price changes take effect at the start of the next billing period following the notice period. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

6. Strava Integration

WattsWise connects to Strava via OAuth 2.0 to sync your cycling activities. When you connect your Strava account, you authorise WattsWise to access your activity summaries, power, heart rate, cadence, speed, GPS, and temperature data streams, and activity metadata.

Data synced from Strava is stored in WattsWise's database and used exclusively for your individual analytics, training plan generation, AI coaching, and course event participation. This usage falls within Strava's API agreement exemption for coaching platforms providing user-specific feedback. Your Strava data is never used for AI model training, aggregate analysis, or any purpose other than your individual coaching and analytics experience.

WattsWise performs periodic background syncs to detect new activities. You will receive in-app notifications when new rides are imported. You may disconnect your Strava account at any time via Settings. Disconnecting your Strava account stops all future syncs but does not automatically delete previously synced data. To delete previously synced data, use the data export and deletion feature in Settings or contact info@dynamicstrategies.io.

Strava's own Terms of Service and Privacy Policy govern your relationship with Strava. WattsWise is not responsible for Strava's availability, API changes, service interruptions, or data handling practices.

Your use of Strava data within WattsWise is also subject to the Strava API Agreement. In the event of any conflict between these Terms and the Strava API Agreement regarding Strava data, the Strava API Agreement prevails.

WattsWise disclaims all warranties on behalf of Strava as a third-party service provider. Strava's services are provided "as is" without warranty of any kind.

WattsWise subscription fees are for WattsWise analytics, coaching, and pacing features. Access to your own Strava data within WattsWise is not gated by any paywall.

7. Garmin Connect IQ Companion

WattsWise offers a companion application for Garmin Edge devices (Edge 840, Edge 1040, Edge 1050, and Edge Explore 2) available through the Garmin Connect IQ Store. The companion app communicates with WattsWise servers via HTTP and provides race-day pacing targets, nutrition alerts, progress tracking, course maps, and live event participation features.

Device pairing: The companion app requires an active WattsWise account and device pairing. Pairing is accomplished via a six-digit code generated in WattsWise Settings. Pairing codes expire after five (5) minutes. Device tokens are valid for ninety (90) days, after which re-pairing is required. You may unpair your device at any time via Settings or the Garmin app menu.

GPS position during events: During active course events that you have explicitly joined, the companion app transmits your GPS position to WattsWise servers approximately every four (4) seconds. This location data collection occurs only during events you have actively joined and requires your explicit action to start, in accordance with Garmin Connect IQ requirements. GPS position data is used for live leaderboard updates, prize claim validation, anti-cheat monitoring, and event result determination. You can stop transmitting position data at any time by exiting the event on your device. Data collected through the companion app is sent to WattsWise, not to Garmin.

Compatibility: The companion app is designed for specific Garmin Edge models listed above. Compatibility with other Garmin devices or future firmware versions is not guaranteed. App performance depends on device firmware, Bluetooth connectivity, and cellular or Wi-Fi coverage for HTTP communication. WattsWise is not responsible for device malfunctions, battery drain, GPS hardware issues, or Garmin firmware updates that affect app functionality.

The companion app is distributed through Garmin's Connect IQ Store but is developed and maintained solely by WattsWise. Your use of the Garmin device and Connect IQ Store is subject to Garmin's own Terms of Use and Privacy Policy. Garmin may remove the companion app from the Connect IQ Store at any time for any reason.

8. AI Coach

The WattsWise AI Coach is powered by Anthropic's Claude API and provides conversational guidance based on your training data, fitness metrics, and stated goals. When you send a message to the AI Coach, contextual information about your recent rides, FTP, fitness metrics (CTL, ATL, TSB), and active training plan is included in the prompt to personalise the response.

The AI Coach is NOT a substitute for professional coaching, sports science guidance, medical advice, nutrition counselling, or physiotherapy. The AI Coach is NOT a licensed medical care provider. No doctor-patient, therapist-patient, or coach-athlete professional relationship is created by your use of the AI Coach. WattsWise does not employ or retain licensed coaches, physiotherapists, nutritionists, or medical professionals to review AI-generated recommendations.

AI-generated recommendations for training intensity, workout structure, race pacing, nutrition timing, and recovery may contain errors, inaccuracies, hallucinations, or suggestions that are inappropriate for your individual circumstances. You should always exercise independent judgment and consult qualified professionals before acting on AI-generated advice, particularly regarding health, nutrition, and training load decisions.

Third-party processing: AI Coach conversations (your messages and the AI's responses) are transmitted to Anthropic's Claude API for processing. Under Anthropic's commercial API terms, your conversations are NOTused to train Anthropic's AI models. Conversation processing is subject to Anthropic's Usage Policy and Privacy Policy.

AI Coach conversations are stored in WattsWise's database until you delete them. You may delete individual conversations or all conversations at any time via the Coach interface. Upon account deletion, all AI Coach conversations are permanently deleted.

If you experience chest pain, dizziness, unusual shortness of breath, or other concerning symptoms during any activity, stop immediately and seek medical attention. Do not rely on the AI Coach for medical decisions under any circumstances.

9. Course Events and GPS Competitions

WattsWise enables users to create and participate in GPS-fenced course events on public roads and trails. These events may include prize points, checkpoints, leaderboards, and WATTS token rewards. By participating in any course event, you acknowledge and agree to the following:

Safety: Course events take place on public roads and trails in the real-world environment. WattsWise does NOT control, inspect, or guarantee the safety of any course. You must obey all applicable traffic laws, road regulations, and exercise independent judgment at all times while participating in any course event. Never prioritise prize claims, checkpoint passage, or event participation over your personal safety or the safety of others. GPS-based prize points and checkpoints are placed at approximate coordinates; do not enter unsafe areas, private property, restricted zones, or leave designated paths or roads to reach them.

Platform role: WattsWise is a technology platform, not an event organiser, race director, or sports governing body. WattsWise does not verify that courses follow legal roads, avoid hazards, or comply with local regulations. User-created courses are the sole responsibility of their creators; WattsWise provides tools for course creation but does not review, approve, or endorse any course for safety, legality, or suitability.

GPS limitations: GPS accuracy varies by device model, satellite conditions, terrain, weather, and building proximity. Position data from Garmin devices is inherently imprecise. WattsWise accounts for reasonable GPS error margins but cannot guarantee positioning accuracy. Device malfunctions, battery failures, signal loss, or connectivity issues during events are not WattsWise's responsibility. Results may be affected by GPS drift, signal multipath, or device errors.

Prizes: Prize availability, value, and distribution are determined by course creators (for user-created courses) or WattsWise (for platform events). Prize claims are validated by automated anti-cheat systems (see Section 10) and may be rejected. WattsWise reserves the right to void any prize claim at its sole discretion. WATTS token prizes have no monetary value (see Section 11).

10. Anti-Cheat and Fair Play

WattsWise employs automated fair-play systems that analyse GPS position data, timestamps, movement patterns, speed, and device information to detect fraudulent or irregular activity during course events. By participating in course events, you consent to this automated monitoring.

Consequences: Automated analysis may result in one or more of the following actions: prize claim rejection, checkpoint invalidation, event result voiding, WATTS token forfeiture, or account suspension. WattsWise applies generous error margins to account for GPS imprecision, but no automated system is infallible.

Dispute process: You may dispute any anti-cheat determination by emailing info@dynamicstrategies.io within fourteen (14) days of the determination. WattsWise will conduct a human review of disputed determinations and respond within fourteen (14) business days. During the review period, contested WATTS tokens or results will be held in pending status. The outcome of human review is final.

Transparency: WattsWise does not disclose the specific parameters, thresholds, or algorithms used by the anti-cheat system, as doing so would undermine its effectiveness and enable circumvention. The general approach involves validating GPS proximity, movement continuity, speed plausibility, and timing consistency.

11. Blockchain Features and WATTS Tokens

Token classification: WATTS are utility tokens that function exclusively within the WattsWise platform. WATTS tokens:

• Have no monetary value and are not redeemable for fiat currency or cryptocurrency
• Are non-transferable between accounts and cannot be traded on any exchange
• Confer no ownership, equity, governance, voting, or profit-sharing rights in Dynamic Strategy or any affiliated entity
• Are not an investment and should not be acquired with any expectation of financial return or profit

Platform control: WattsWise reserves the right to modify WATTS earning rates, spending costs, weekly caps (currently 150 WATTS per week), and the overall token system at any time. WattsWise may introduce, modify, or remove items or features available for WATTS spending. Upon account termination, all WATTS balances are forfeited. WATTS have no expiration date while the account remains active; however, WattsWise may introduce expiration mechanics with sixty (60) days' advance notice.

On-chain settlement: Course event results, prize claims, checkpoints, and race placements are determined by WattsWise's server-side systems and are final. Blockchain settlement on the Midnight Network creates a supplementary, immutable audit record of these determinations. In the event of any discrepancy between on-chain records and WattsWise platform records, WattsWise platform records shall govern. On-chain settlement is provided on an "as available" basis and may experience delays due to Midnight Network congestion, proof-server availability, or processing queues. Settlement failures do not affect in-platform results, rankings, or WATTS earnings. WattsWise reserves the right to void, reverse, or reprocess any settlement if subsequent anti-cheat review reveals irregularities.

Smart contracts: Smart contracts deployed on the Midnight Network undergo testing but are provided without warranty against defects, vulnerabilities, or unexpected behaviour. WattsWise is not liable for losses arising from smart contract bugs, network faults, or proof-server errors. Blockchain features, including the WATTS token system, may be modified or discontinued at any time to comply with applicable laws and regulations in any jurisdiction.

12. Wallets and Private Vault

Embedded wallet: WattsWise provides an embedded wallet that custodies your encrypted seed phrase. We strongly recommend exporting your wallet key via Settings > Blockchain > Advanced as a personal backup. If WattsWise ceases operations, users will be given reasonable notice and opportunity to export their wallet keys and any on-chain assets before the service is discontinued.

External wallets: If you connect an external wallet, you are solely responsible for its security. WattsWise cannot recover lost private keys, reverse unauthorised transactions, or restore compromised wallets. Loss of access to your external wallet may result in permanent loss of any on-chain assets associated with that wallet.

Private Vault and selective disclosure: The Private Vault allows you to store cryptographic proofs of your performance data and selectively share verified claims with third parties. When you grant access to a third party, they can verify your claims (such as FTP level, race completions, or training achievements) without seeing the underlying raw data. You can revoke access at any time; however, verifications already performed by third parties cannot be retroactively invalidated. WattsWise does not control what third parties do with information you choose to disclose.

Verifiable credentials: Credentials minted on the Midnight Network (race completions, FTP milestones, training achievements) are permanent and cannot be revoked once minted. Credential minting is automatic when you achieve qualifying milestones. You may opt out of automatic credential minting at any time via Settings.

13. Intellectual Property

The WattsWise platform, including its software, algorithms, user interface, branding, Compact smart contracts, and generated content (excluding user-provided data), is owned by Dynamic Strategy and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial purposes in accordance with these Terms.

You retain full ownership of all data you provide to WattsWise, including activity data synced from Strava, uploaded .FIT files, training plans you create, and AI Coach conversations you initiate. You grant WattsWise a limited, non-exclusive licence to process, store, and display your data solely for the purpose of providing the Service to you.

WattsWise may use aggregated and anonymised data (from which no individual user can be identified) for product improvement, service enhancement, and general analytics. Such aggregated data does not include personally identifiable information and is not subject to the user data ownership provisions above.

14. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. DYNAMIC STRATEGY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WATTSWISE MAKES NO WARRANTY THAT: (I) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (II) THE SERVICE WILL OPERATE WITHOUT INTERRUPTION, BE TIMELY, SECURE, OR ERROR-FREE; (III) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; (IV) FITNESS OUTCOMES, TRAINING IMPROVEMENTS, OR PERFORMANCE GAINS WILL RESULT FROM USE OF THE SERVICE; (V) AI COACH OUTPUT WILL BE ACCURATE, COMPLETE, OR APPROPRIATE FOR YOUR INDIVIDUAL CIRCUMSTANCES; (VI) GPS POSITION DATA WILL BE ACCURATE OR RELIABLE; (VII) DATA FROM SYNCED DEVICES OR THIRD-PARTY SERVICES WILL BE ACCURATE OR COMPLETE; (VIII) BLOCKCHAIN SETTLEMENT WILL OCCUR IN A TIMELY MANNER OR WITHOUT ERROR; OR (IX) SMART CONTRACTS WILL EXECUTE AS INTENDED OR BE FREE FROM DEFECTS.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM WATTSWISE, THE AI COACH, OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

15. Assumption of Risk and Health Disclaimer

CYCLING IS AN INHERENTLY DANGEROUS ACTIVITY INVOLVING RISK OF SERIOUS INJURY, PERMANENT DISABILITY, AND DEATH. BY USING WATTSWISE, YOU ACKNOWLEDGE AND VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH CYCLING ACTIVITIES UNDERTAKEN IN CONNECTION WITH OR INFORMED BY YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO RISKS ARISING FROM: ROAD CONDITIONS, TRAFFIC, WEATHER, EQUIPMENT FAILURE, PHYSICAL EXERTION, DEHYDRATION, HEAT STROKE, CARDIAC EVENTS, COLLISION WITH OTHER ROAD USERS, AND ANY OTHER HAZARD ASSOCIATED WITH CYCLING ON PUBLIC ROADS, TRAILS, OR OTHER SURFACES.

WATTSWISE IS NOT A MEDICAL PLATFORM. WATTSWISE IS NOT A LICENSED MEDICAL CARE PROVIDER, SPORTS MEDICINE FACILITY, CLINICAL SERVICE, PROFESSIONAL COACHING ORGANISATION, NUTRITIONAL COUNSELLING SERVICE, OR PHYSIOTHERAPY PRACTICE. BY CREATING AN ACCOUNT AND USING THE SERVICE, YOU VOLUNTARILY, KNOWINGLY, AND IRREVOCABLY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE DYNAMIC STRATEGY, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING LEGAL FEES) OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH:

• YOUR USE OF THE SERVICE, INCLUDING ANY TRAINING PLAN, RACE STRATEGY, PACING TARGET, NUTRITION PLAN, OR OTHER RECOMMENDATION GENERATED BY THE SERVICE OR THE AI COACH
• ANY PHYSICAL INJURY, ILLNESS, DISABILITY, OR DEATH ARISING FROM CYCLING OR ANY OTHER PHYSICAL ACTIVITY UNDERTAKEN IN CONNECTION WITH, INFORMED BY, OR INSPIRED BY YOUR USE OF THE SERVICE
• ANY PARTICIPATION IN COURSE EVENTS, GPS-BASED COMPETITIONS, OR PRIZE CLAIM ACTIVITIES
• ANY INACCURACY, ERROR, OR OMISSION IN DATA, ANALYTICS, METRICS, OR AI-GENERATED CONTENT PROVIDED BY THE SERVICE
• ANY DECISION YOU MAKE BASED ON INFORMATION OR OUTPUT FROM THE SERVICE, INCLUDING DECISIONS ABOUT TRAINING INTENSITY, NUTRITION, HYDRATION, REST, OR RACE PARTICIPATION
• ANY GPS ROUTE, COURSE MAP, OR PRIZE POINT LOCATION DISPLAYED BY THE SERVICE OR THE GARMIN COMPANION APP
• ANY LOSS, FORFEITURE, OR INACCESSIBILITY OF WATTS TOKENS, VERIFIABLE CREDENTIALS, OR BLOCKCHAIN-RECORDED DATA

THIS RELEASE APPLIES REGARDLESS OF WHETHER THE CLAIM ARISES FROM THE NEGLIGENCE, GROSS NEGLIGENCE, OR STRICT LIABILITY OF THE RELEASED PARTIES, OR FROM ANY OTHER CAUSE, TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF PORTUGAL AND APPLICABLE LAW.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS RELEASE AND WAIVER OF CLAIMS, UNDERSTAND ITS TERMS, AND AGREE TO BE BOUND BY IT VOLUNTARILY. YOU UNDERSTAND THAT BY ACCEPTING THESE TERMS, YOU ARE GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE RELEASED PARTIES FOR DAMAGES.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF PORTUGAL, IN NO EVENT WILL WATTSWISE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WATTSWISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS LIMITATION OF LIABILITY APPLIES TO ALL CLAIMS ARISING FROM OR RELATED TO, WITHOUT LIMITATION: (I) YOUR USE OF OR INABILITY TO USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF THIRD PARTIES ON OR THROUGH THE SERVICE; (III) ANY TRAINING PLAN, RACE STRATEGY, OR NUTRITION PLAN GENERATED BY THE SERVICE; (IV) ANY ADVICE OR OUTPUT PROVIDED BY THE AI COACH FEATURE; (V) ANY PHYSICAL INJURY, ILLNESS, OR DEATH ARISING FROM FOLLOWING RECOMMENDATIONS PROVIDED BY THE SERVICE OR AI COACH; (VI) ANY UNAUTHORISED ACCESS TO OR USE OF YOUR ACCOUNT OR PERSONAL DATA; (VII) ANY LOSS OR FORFEITURE OF WATTS TOKENS; (VIII) ANY BLOCKCHAIN SETTLEMENT FAILURES, DELAYS, OR ERRORS; (IX) ANY SMART CONTRACT BUGS, VULNERABILITIES, OR UNEXPECTED BEHAVIOUR; (X) ANY GPS-BASED PRIZE CLAIM OUTCOMES OR DISPUTES; (XI) ANY GARMIN COMPANION APP MALFUNCTIONS, CRASHES, OR DATA TRANSMISSION FAILURES; (XII) ANY GPS ACCURACY ISSUES OR SIGNAL LOSS; (XIII) ANY COURSE EVENT OUTCOMES, RESULTS, OR RANKINGS; AND (XIV) ANY ANTI-CHEAT DETERMINATIONS, CLAIM REJECTIONS, OR ACCOUNT ACTIONS.

IN ALL CASES, WATTSWISE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID TO WATTSWISE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM;

18. Indemnification

You agree to indemnify, defend, and hold harmless Dynamic Strategy and its affiliates, directors, officers, employees, and agents from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; (d) courses you create, including any injury, damage, or loss suffered by any person participating in a course you created; (e) your use of blockchain features, including selective disclosure of credentials and vault data to third parties; and (f) any content you share, disclose, or make available through the Service. This indemnification obligation will survive the termination of your account and these Terms.

19. Termination

By you: You may close your account at any time via Settings. Before closing your account, you may export your data via Settings > Export. We strongly recommend exporting your data and wallet keys before initiating account closure.

By WattsWise: WattsWise reserves the right to suspend or terminate your access to the Service at any time, with or without prior notice, for conduct that we determine in our sole discretion violates these Terms, is harmful to other users, compromises the integrity of course events, or is otherwise inappropriate.

Effect of termination: Upon termination of your account, whether initiated by you or by WattsWise:

• Your right to access and use the Service ceases immediately
• All WATTS token balances are forfeited and cannot be recovered
• On-chain records (race results, credentials, settlement hashes) become permanently unlinkable to your identity, as the off-chain mapping between on-chain hashes and your account is destroyed
• Active subscriptions are not refunded for the remaining portion of the current billing period
• AI Coach conversations, training plans, analytics data, and all other account data are permanently deleted in accordance with our Privacy Policy
• Verifiable credentials already minted on the Midnight Network remain on-chain but are no longer linkable to your identity

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to its conflict of law provisions.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the validity, invalidity, breach, or termination thereof, shall be resolved by binding arbitration administered by the London Court of International Arbitration (LCIA). The arbitration shall be conducted by a single arbitrator appointed in accordance with the LCIA Rules. The seat of arbitration shall be Portugal. The language of the arbitration shall be English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against WattsWise.

Opt-out: You may opt out of the arbitration and class action waiver provisions within thirty (30) days of creating your account by sending written notice to info@dynamicstrategies.io with your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration clause. If you opt out, disputes will be resolved in the courts of Portugal.

Small claims exception: Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction for disputes within that court's jurisdictional limits.

EEA/UK exemption: If you are a consumer habitually resident in the European Economic Area (EEA) or the United Kingdom, the arbitration, class action waiver, and governing law provisions of this section do NOT apply to the extent they conflict with mandatory consumer protection laws of your country of residence. Disputes will be resolved in the courts of your country of residence under its consumer protection laws. You retain all rights afforded to you under the consumer protection legislation of your country of habitual residence. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it valid and enforceable whilst preserving its original intent. If modification is not possible, the provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

22. Changes to These Terms

WattsWise reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes by sending an email to the address associated with your account. The updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and close your account before the effective date.
